Terms and Conditions

For the Supply of ClockRite Time Recording Systems

a) Software Licence & Support
The intellectual property rights for ClockRite software will remain with the copyright owners, Motor Industry Management Systems Ltd (the Company) at all times and they are not transferable.

ClockRite systems are supplied to the Customer with a unique 12 month system support code, which is renewable annually for the subsequent twelve-month licence period.  The first 12 months of hardware warranty and software support are free of charge. Annual system support is then optional from the second year, and customers will be invited to renew their support by way of a pro-forma invoice. Customers who do not renew their annual system support will be unable to receive any hardware or software support until a new twelve month support licence is purchased. All system support is by remote internet connection. On site support is by appointment only and is chargeable to the Customer.

The annual system support fee covers the ClockRite software application plus all hardware supplied by the Company.

b) Warranty and Limit of Liability
The Company warrants that the ClockRite system will perform in accordance with its specification for 12 months from date of first delivery. This warranty covers normal day-to-day use of the ClockRite system.  Faulty hardware must be returned to the Company at the Customer’s expense for diagnosis and repair or replacement at the Company’s discretion. Fire, flood, malicious and/or vandal damage to the system are not covered and will only be rectified at the Customers request and expense.

The Company and the Customer agree to indemnify each other against any liability arising in respect of injury (including death) to any person, loss or damage to any property which results from the act, default or negligence of itself, its employees, agents or subcontractors.

In no event shall the Company’s liability under the agreement exceed the price paid by the Customer to the Company for the equipment connected with any claim.

c) Payment Terms
All ClockRite systems, accessories and support fees must be paid for in full prior to dispatch or installation by our engineers. A vat invoice will be provided following receipt of payment.          
Payment can be made by BACS or credit card. Cheque payments are accepted, however the supply of goods may be delayed until the cheque has cleared (Up to 10 working days).  Ownership of goods supplied does not pass to the Customer until cleared payment in full is received by the Company.          

d) 30 Day Refund & Returns Policy
All ClockRite systems are supplied with a 30 day money back guarantee. The Company must receive notification to  return a system from the Customer within 14 days from the date of delivery of the system, or the date of installation by one of the Company’s engineers. The system hardware must then be returned to the Company no later than 30 days from the original delivery date of the system.
To qualify for a refund the clocking terminal hardware must be returned in ‘as new’ undamaged condition and in the original packaging including fixing brackets and power adaptors. If goods are damaged in transit to the Customer, the Customer must notify the Company within 5 days of the goods being received. Installation charges are not refundable if the Customer cancels a pre-booked system installation or decides to return the clocking system hardware within the 30 day period.

e) Entire Agreement
The parties agree that these terms and conditions represent the entire agreement between the parties relating to the sale and purchase of the ClockRite system and support services
