For the Supply of ClockRite Time Recording Systems, Access Control Systems, and related Accessories

a) Software Licence & Support

The intellectual property rights for ClockRite software will remain with the copyright owners, Motor Industry Management Systems Ltd (the Company) at all times and are not transferable.

Each ClockRite system is covered by a hardware and software warranty & support agreement (hereafter referred to as annual support) for a period of 12 months from the date of full payment. Annual support can optionally be renewed after the first 12 months, and for each 12-month period thereafter. Renewal of the annual support agreement will grant hardware warranty and software support for a period of 12 months from the date of full payment. Customers will be invited to renew by way of a pro-forma invoice prior to the expiry of their annual support agreement. All ClockRite systems covered by the annual support agreement are subject to the warranty terms set out under section (b) of this document.

Customers without annual support will be unable to access software support and hardware warranty services unless and until a new annual support agreement is purchased. All software support is conducted by telephone, email, and remote internet connection, and pertains to the ClockRite application only. The Company will not provide support for the Customer’s IT network or systems. On-site support is by appointment only and is chargeable to the Customer. ‘Unused’ annual support is not refundable in whole or in part under any circumstances. The annual support agreement is non-transferable between clients, companies, or entities, except at the Company’s sole discretion.

b) Warranty and Limit of Liability

The Company warrants that the ClockRite system will perform in accordance with its specification for 12 months from date of first delivery. Additionally, the Company warrants that a ClockRite system for which a further annual support agreement is purchased will perform in accordance with its specification for 12 months from the date of full payment.

This warranty covers normal day-to-day use of the ClockRite system; its software, and clocking terminal hardware including any bells or sirens supplied by the Company. It does not extend to clocking fobs, badges, admin cards, and other such system accessories, whether lost, damaged, or faulty, except at the Company’s sole discretion.

Faulty hardware must be returned to the Company at the Customer’s expense for diagnosis, repair, or replacement at the sole discretion of the Company. If the Customer is located outside the UK Mainland delivery area, the cost of delivering repaired/replacement hardware will also be borne by the Customer. Damage caused by fire, flood, vandal/malicious action, and faults or failures deemed to have occurred while the ClockRite system was not under an annual support agreement are not covered and will only be rectified at the Customer’s request and expense. The warranty is non-transferable between clients, companies, or entities, except at the Company’s sole discretion.

The Company and the Customer agree to indemnify each other against any liability arising in respect of injury (including death) to any person, loss or damage to any property which results from the act, default or negligence of itself, its employees, agents or subcontractors. In no event shall the Company’s liability under the agreement exceed the price paid by the Customer to the Company for the equipment connected with any claim.

The Company accepts no responsibility for any increase in operational costs, loss of revenue, or similar expenses resulting from issues or failures of the ClockRite system, its software or hardware. 

c) Payment Terms

All ClockRite systems, accessories and support fees must be paid for in full prior to dispatch or installation by our engineers. A VAT invoice will be provided following receipt of payment. Payment can be made by BACS or credit card. Cheque payments are accepted, however the supply of goods may be delayed until the cheque has cleared (up to 10 working days). Ownership of goods supplied does not pass to the Customer until cleared payment in full is received by the Company. The Company reserves the right to refuse or refund any order at their discretion.

d) 30 Day Refund & Returns Policy

All ClockRite systems are supplied with a 30-day money back guarantee subject to the following conditions:

  1. Notification of request to return the ClockRite system must be given by the Customer to the Company in writing within 14 calendar days of the date of delivery or the date of installation by one of the Company’s engineers, inclusive of the day on which delivery or installation occurs. 
  2. The ClockRite system and all associated items must then be returned at the Customer’s expense to the Company within 30 calendar days of the date of delivery or the date of installation by one of The Company’s engineers, inclusive of the day on which delivery or installation occurs. The Company bares no responsibility and will make no allowances for delays or damage incurred while items are in transit.
  3. The ClockRite system and all associated items must be returned ‘as new’, without damage, in the original packaging; with any screws, mounting brackets, and power adapters included. 
  4. A refund may be granted subject to inspection of the ClockRite system and associated items and at the sole discretion of the Company. Shipping costs are not refundable except in cases where the Company, at its sole discretion, identifies a fault or defect in supplied hardware.

Installation charges are not refundable should the Customer cancel a pre-booked system installation or decide to return the clocking system hardware within 30 calendar days of the date of installation, inclusive of that date.

e) Entire Agreement

The parties agree that these terms and conditions represent the entire agreement between the parties relating to the sale and purchase of the ClockRite system and annual support services.
